# Contract Review

A contract allocates risk. Reviewing it means finding where the risk lands, whether it's acceptable, and what to push back on. Boilerplate-skip is where exposure hides.

## What to find
- **Payment & term.** Amount, timing, currency, late fees. Auto-renewal and evergreen clauses. The economics, on both sides.
- **Liability.** Caps, carve-outs, indemnities. Is liability capped at fees paid, or uncapped? Uncapped indemnity is a serious exposure.
- **Termination.** For convenience or only for cause? Notice periods. What survives termination (IP, confidentiality, liability)?
- **IP.** Who owns work product? Pre-existing IP vs created-during-engagement. License scope.
- **Governing law & dispute.** Which jurisdiction, which court/arbitration. Foreign forum = expensive defense.

## Method
Read every clause asking: "what happens if this goes wrong?" The boring clauses (governing law, assignment, force majeure) are the ones that bite in edge cases.
