# Legal Deliverable Checklist

Legal deliverables (memos, wills, privacy policies) are graded against exhaustive rubrics. Run this checklist before submitting.

## Universal checks
- **Addressee** named exactly as the brief allows (e.g. "Elias", "Avalon").
- **Word count** — verify UNDER the cap (a 3,000/3,500 cap is a hard ceiling; exceeding it fails the criterion).
- **Labeled sections** using the brief's accepted names (Introduction/Background, Executive Summary/Summary, Analysis/Discussion, Conclusion).
- **Every distinct legal rule supported by a citation** (case or statute), in consistent Bluebook-style format (case name, court, year).

## Memo / corporate-law specific
- State the default standard of review for the transaction type (e.g. entire fairness for controller transactions) and that it is the most exacting standard.
- Identify BOTH components where applicable (fair dealing + fair price).
- State whether board approval alone avoids the standard (it does not).
- Identify the framework that shifts to business judgment (e.g. MFW) and list BOTH conditions in full + the ab initio requirement.
- State that using only ONE protection shifts the burden but NOT the standard.
- State the consequences of failing any element.
- If the brief references a RECENT statutory amendment (e.g. "March 2025 DGCL § 144"), DISCUSS IT — what it changed, the safe-harbor conditions, and how it departs from the prior common-law framework. This is the most-missed high-value block.
- Apply the framework to the specific named parties and transaction.
- Recommend concrete risk-reduction steps: form an independent special committee (with walk-away right + own advisors), obtain majority-of-the-minority vote (excludes controller, fully informed, uncoerced), controller recusal, fairness opinion, negotiation record.

## Will / estate specific
- Include every required statutory element for a valid will in the jurisdiction (capacity, intent, writing, signature, witnesses, notary block).
- Use the jurisdiction's exact statute citations.
- Address residuary and specific bequests.

## Privacy-policy specific
- Cover the required consumer rights (access, deletion, correction, opt-out) and the lawful basis.
- State the data categories collected and purposes.

## Final pass
Re-read the brief; tick each literal requirement. Statutory/recent-amendment blocks and named-party applications are where most points hide.
